MATTER and Health 2.0 Chicago Healthathon

Official Contest Rules

 

NO PURCHASE NECESSARY. DO NOT PURCHASE EQUIPMENT SOLELY FOR PURPOSES OF ENTERING THIS CONTEST.

 

1. ELIGIBILITY: The MATTER Healthathon (the “Contest”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old, have attained the age of majority in their state of residence at the time of entry, and have not purchased equipment solely for purposes of entering this Contest.  Employees of Cigna Health and Life Insurance Company, MATTER, and Health 2.0 Chicago, and any of their respective parent, subsidiary and affiliate companies, agents, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee, are not eligible.  The Contest is subject to all applicable federal, state, and local laws and regulations and is void where any aspect of the Contest is prohibited or otherwise restricted by law.      

 

2. ADMINISTRATOR: MATTER, [222 West Merchandise Mart Plaza, Suite 1230, Chicago, IL 60654] (“Administrator”).

 

3. SPONSOR: Cigna Health and Life Insurance Company, 900 Cottage Grove Road, Bloomfield, CT 06002 (“Sponsor”).

 

4. AGREEMENT TO RULES: Participation in this Contest constitutes your full and unconditional agreement to these Official Contest Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to this Contest.  Winning a prize is contingent upon fulfilling all requirements set forth herein.


5. TIMING: The Contest begins on April 30, 2015 at 530p CDT, ends on May 27, 2015 at 830p CDT (the "Contest Period") and consists of 5 phases as set forth in the chart below.

Administrator's computer is the official time-keeping device for the Contest.

 

6. TO ENTER: Entrants must first register for the Contest as follows: (1) During the Online Registration Phase, visit http://cigna-matter-hat.eventbrite.com and follow the instructions to complete and submit the registration form; or (2) During the In-Person Registration Phase, visit the Healthathon registration table located at 222 West Merchandise Mart Plaza, Suite 1230, Chicago, IL 60654 and complete and sign the in-person registration form. Entrants then must attend the Healthathon event during the Product Development Phase. During this phase, entrants may meet with other industry professionals to discuss and/or develop a product.  To compete for prizes, entrants must submit a presentation document on a proposed product to the Administrator before the expiration of the Product Development Phase, and give a final presentation of the product to the panel of judges during the Presentation Phase (the presentation document and final presentation of the product to the panel of judges shall hereinafter collectively be referred to as the “Submission”). Instructions on how to submit the final presentation document and specific presentation times will be provided to entrants during the Product Development Phase. By providing a Submission, entrants agree that the Submission conforms to the Submission Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Administrator or Sponsor, in their sole discretion, may remove your Submission and disqualify the Submission from the Contest if they believe that the Submission fails to conform to the Guidelines and Restrictions.

 

All intellectual property rights, including rights and ownership of original products, ideas, patents or other work that was previously created by entrants or developed by entrants during the Contest (hereinafter “Entrant Intellectual Property”) are, and shall remain the sole and exclusive property of the respective owners. Administrator and Sponsor agree not to claim any ownership in or to Entrant Intellectual Property, except as otherwise stated in these Official Contest Rules, or by future written agreement between the applicable parties.

 

Submission Guidelines

The presentation document must be in PDF format;

The presentation to the panel of judges must not exceed 6 minutes in length; and

The presentation document must not exceed 5 GB in size.

The presentation document must not have been entered into any other contest, promotion, exhibition or otherwise previously published.

 

Content Restrictions:

 

The Submission must not:

Contain privileged or confidential information, any material non-public information about any company, or any other information that entrant does not wish to make available for public viewing;

Contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or constitute copyright infringement;

Disparage Sponsor, Administrator or any other person or party affiliated with the Contest;

Contain brand names or trademarks other than those owned by you, owned by Administrator or Sponsor, or which entrant has a sufficient license to permit the use  in entrant’s Submission in this Contest;

Contain images or artwork not created, licensed, or owned by you;

Contain material that is unlawful, indecent, obscene hateful, tortious, defamatory, or otherwise inappropriate, as determined by Administrator or Sponsor in its sole discretion.

Falsely state or misrepresent any affiliation with any person or entity;

Endorse any religious or political cause or candidate;

Contain any personally identifying information about entrant or any other person;

Depict any minor; and

Contain any virus, worm, Trojan horse, Easter egg, time bomb, spyware or other computer code, file or program that is harmful or invasive or that may or is intended to damage or hijack the operation of, or to monitor the use of, any website, hardware, software or network.

 

The Administrator and Sponsor reserve the right, in their sole and absolute discretion, to refuse to accept any Submission for any reason.

 

Teams: A Submission may be submitted by a group of individuals (such individuals, collectively and individually, a “Team”).  Each Team must designate one (1) person within such Team as the agent for the Team (the “Team Leader”) for purposes of entering the Team into the Contest, agreeing to these Official Rules and any other required agreements, affidavits and releases, and accepting any prize, each on behalf of the Team.  All members of a Team must be listed in the Team’s Contest registration; after the registration is submitted, a Team is not permitted to add or remove any members.  Teams may not have more than 10 members.  If you are a Team Leader, you are entering into the Contest and agreeing to these Official Rules on behalf of yourself and each member of your Team.

 

Limit: Each person or Team may enter one (1) Submission during the Product Development Phase.  Submissions received from any person or Team in excess of the stated limit will be void. Providing a Submission constitutes your agreement to grant Administrator, Sponsor, Health 2.0 Chicago, and their respective designees a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes.  If requested, you will sign any documentation that may be required for Administrator, Sponsor, Health 2.0 Chicago, or their respective designees to make use of the non-exclusive rights you are granting to use the Submission.   Released Parties (as defined in Section 10, below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Submissions; all of which will be void. 


7. WINNER DETERMINATION: Winners will be determined according to the process set forth below.

 

During the Judging Phase, a panel of judges determined by Administrator and Sponsor in their sole discretion will select five entrants with the highest-scoring Submissions (the "Finalists") from among all eligible Submissions based on the following criteria (“Judging Criteria”):

 

Real problem is being solved (20%)

Realistic plan for adoption and dissemination of the solution (20%)

Viability of solution (20%)

Creativity and novelty (20%)

Near pilotable (20%)

 

The Finalist whose Submission is considered most pilotable by a majority consensus of the judges will be selected as the potential (grand prize? First prize?) winner.  The next 2 Finalists that received the highest scores during the Judging Phase may be deemed potential (first?) Prize winners. 

 

To the extent permitted by law, the judges reserve the right to select fewer than 3 Finalists, if, in the judges’ sole discretion, they do not receive a sufficient number of eligible and qualified Submissions. Finalists are prohibited from offering anything of value or any other inducement to judges in an attempt to secure a higher score. 

 

At the end of the Contest, the Administrator and Sponsor may, at their sole discretion, award some entrants and finalists additional prizes (“Additional Prizes”). Such Additional Prizes may include MATTER memberships for a defined period of time, or mentoring time with Administrator or Sponsor. If applicable, to claim Additional Prizes, entrants may be required to execute any additional membership or other agreements as requested or required by Administrator or Sponsor.

 

8. WINNER REQUIREMENTS: Potential winners must be present at MATTER on May 27, 2015 at 830p CDT when the winners will be publicly announced. Except where prohibited, the potential Grand Prize and First Prize winners (including each member of a Team, if applicable) will be required to sign and return a Declaration of Compliance, Liability and Publicity Release, in order to claim the prize.  If a potential winner (or any member of a Team, if applicable) cannot be contacted, fails to promptly execute and return the Declaration of Compliance, Liability and Publicity Release, or does not comply with these Official Contest Rules, the potential winner forfeits the prize.  If a potential winner is disqualified for any reason, the prize may be awarded to a runner-up, if any, in Administrator’s sole discretion.  Only 1 alternate potential winner may be determined, after which the applicable prize will remain unawarded.  Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Administrator, Sponsor, Health 2.0 Chicago, and their respective designees may use the winner’s name, city, state, likeness, Submission and/or prize information in connection with the Contest for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.  Each winner accepts and acknowledges that Administrator, Sponsor, Health 2.0 Chicago, and their respective designees shall not be obligated to use the Submission and that Administrator, Sponsor, Health 2.0 Chicago, and their respective designees in their sole discretion shall have the right to refrain from using the Submission. Administrator, Sponsor, Health 2.0 Chicago, and their respective designees shall not incur any liability whatsoever to the extent Administrator, Sponsor, Health 2.0 Chicago, or their respective designees chooses to refrain from any exploitation of its rights hereunder. Each winner will indemnify Released Parties (as defined in Section 10, below) and any licensee of the Released Parties against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.     

 

9. PRIZES: One (1) Grand Prize: A $3,500 cash award. First Prizes: A $1,000  cash award. Additional Prizes may also be awarded to entrants and the actual retail value of such prizes will vary. 

 

For all prizes: If a winner is a Team, the Sponsor will award the prize solely to the Team Leader.  Prizes are non-transferable and no substitution will be made, except that Sponsor reserves the right to substitute a prize for one of comparable or greater value.  Winners are responsible for all taxes and fees associated with prize receipt and/or use. Winners may be issued an IRS 1099 tax form for the actual value of any prizes won.  A winner may be required to provide Administrator or Sponsor with his or her Social Security number for tax reporting purposes.

 

10. RELEASE AND INDEMNITY; LIMITATIONS OF LIABILITY: By participating in the Contest, you agree (on behalf of yourself and any members of your Team)  to release, indemnify and hold harmless the Sponsor, Administrator, Health 2.0 Chicago, and their respective subsidiaries, affiliates, suppliers, distributors, and advertising/promotion agencies, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of or related to, directly or indirectly, in whole or in part, any participation in the Contest or receipt or use or misuse of any prize, including: (a) claims that your Submission violates any copyrights, patents, trademark rights, publicity rights, privacy rights or other rights; (b) claims arising from any use or other exploitation of, or failure to use or exploit, your Submission; (c) claims arising from any breach or alleged breach by you of these Official Rules, or any act or omission by any member of your Team, if applicable, that would constitute such a breach or alleged breach if undertaken by you; (d) claims of misappropriation of ideas or other intellectual property; (e) claims arising from any technical errors or printing errors; (f) claims arising from unauthorized human intervention in the Contest; (g) claims arising from lost, late, postage-due, misdirected or undeliverable mail or email; (h) claims arising from errors in the administration of the Contest or the processing of entries or Submissions; and (i) claims arising from injury, death or damage to persons or property. The Released Parties are not responsible for any unauthorized third party use of any Submission or Entrant Intellectual Property. The Released Parties make no representations or warranties of any kind, express or implied, regarding any prize.

 

 

11. GENERAL CONDITIONS: Administrator or Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the Contest, as determined by Administrator or Sponsor in their sole discretion.  If terminated Administrator or Sponsor may, in their sole discretion, determine the winners from among all eligible Submissions received up to time of such action using the judging procedure outlined above.  Administrator and Sponsor, in their sole discretion, reserve the right to disqualify any individual (and any Team to which such individual belongs) it finds to be tampering with the operation of the Contest or to be acting in violation of the Official Contest Rules or in an unsportsmanlike or disruptive manner and void all associated Submissions.  Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Administrator and Sponsor reserve the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law.  Administrator’s or Sponsor’s failure to enforce any term of these Official Contest Rules shall not constitute a waiver of that or any other provision.

 

12. DISPUTES: Except where prohibited, entrants agree that any and all disputes, claims and causes of action arising out of the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Commonwealth of Pennsylvania. All issues and questions concerning these Official Rules, entrant’s rights and obligations, or Sponsor’s and Administrator’s rights and obligations shall be governed by the laws of the Commonwealth of Pennsylvania, without giving effect to any choice of law or conflict of law rules.

 

13. WINNER NAMES: The names of winners will be announced on the final day of the Contest after winner confirmation is complete.
